Dano focuses his practice on the representation of banks and other lending institutions in commercial real estate finance transactions, including the origination, restructure, purchase, sale, securitization and syndication of mortgage loans and mezzanine loans.
Mr. Dano's experience includes transactions involving financings of shopping centers, office buildings, multifamily developments and hotels across the United States, single and multi-tier mezzanine loans, large cross-collateralized multi-state portfolios, senior/subordinate note structures, fee and leasehold estates, loan participations, and intercreditor and co-lender arrangements.
Mr. Dano's representative transactions include:

Represented a national commercial bank in connection with the transfer of $30 Billion of mortgage and mezzanine loan assets, including the analysis of intercreditor and co-lender agreements, ground leases and hotel management agreements related thereto and the modification of numerous hotel comfort letters.

Represented a New York investment bank in connection with a $1.225 Billion financing of the acquisition of 13 office properties in the Washington D.C. area. This cross-collateralized transaction involved mortgage loans and multiple layers of mezzanine financing. Mr. Dano later represented the lender in the sale of many of the mezzanine loans related to this portfolio.

Represented a national commercial bank in connection with a $796.55 Million financing of 7 shopping malls owned by a joint venture between two national real estate investment trusts.

Represented a New York investment bank in their $394 Million financing of the acquisition of 5 luxury hotels and resorts in California, Colorado and Texas. This complex transaction included mortgage financing, multiple layers of mezzanine financing, ground lease and condominium structures and liquor licensing issues. In addition, this transaction involved operating lease and hotel management agreements with international hotel franchises and the negotiation of subordination agreements related thereto. Mr. Dano later represented the lender in the sale of many of the mezzanine loans related to this transaction, which sales structures included seller financing.

Represented a financial institution in connection with a $70 Million financing of a New York City office building that involved a complex IDA bond structure.

Represented a German lender in connection with a $192 Million financing of a New York City office building that involved leasehold financing and future advances of loan proceeds.

Represented an international investment bank in connection with a $262.1 Million loan secured by a Chicago, Illinois office building involving both mortgage and mezzanine financing. This transaction also involved a condominium conversion feature and future advances of loan proceeds.

Represented a national commercial bank in multiple financings of shopping malls owned by a national real estate investment trust totaling $244.5 Million. Some of these financings included provisions related to future renovations of the malls and a reverse 1031 exchange.

Represented a New York investment bank in connection with the $555 Million financing of the acquisition of five office properties in Atlanta, Georgia. This transaction involved mortgage debt and multiple layers of mezzanine debt. Mr. Dano later represented the lender in the restructuring of the loans and the sale of certain tranches of the mezzanine debt.
Prior to joining Klehr Harrison, Mr. Dano was a Partner of the law firm of Thacher Proffitt & Wood LLP in New York. He received his J.D. from St. John's University School of Law in 1998 (cum laude) where he was an Articles & Notes Editor for the St. John's Law Review, and received his B.A. from Boston College in 1993.
