Dan O'Brien concentrates his practice in securities, mergers and acquisitions and general corporate counseling.
Private Placements and Public Offerings: Mr. O'Brien represents issuers and institutional investors in private placements of securities, including private equity and venture capital funds and emerging growth companies in connection with financings from initial capitalization to late stage venture funding as well as publicly traded companies and institutional investors in connection with privately negotiated transactions in public equity securities. He has also represented issuers, underwriters and selling shareholders in connection with publicly registered offerings of securities.
Mergers and Acquisitions: Mr. O'Brien represents buyers and sellers in connection with acquisitions and sales of businesses as well as strategic investments and joint ventures.
Securities Compliance, Corporate Governance and General Corporate Counseling: Mr. O'Brien provides advice on issues arising under federal and state securities laws and stock exchange rules, including disclosure obligations, corporate governance matters, periodic reporting and proxy requirements, Section 13 and 16 reporting and liability issues and compliance with listing requirements. He also advises clients in general corporate matters from complex contractual arrangements to finding practical, timely solutions to day-to-day problems.
