Biography

Stephan L. Cutler’s real estate practice encompasses a wide range of real estate activities, including acquisitions, dispositions, leasing, financing, development, construction and restructuring for a wide variety of clients, including REITs, private equity funds, retailers, medical, dental and other professional service providers, gaming companies, universities, and non-profit organizations. Mr. Cutler is adept in a broad range of property types (e.g. retail, office, industrial, multi-family and mixed use) and ownership structures (e.g. fee simple, ground lease, air space, condominium, planned community and cooperative).

Mr. Cutler's recent representative transactions include the following:
  • Counseled a multifamily apartment ownership and management company in connection with a $137,250,000 first mortgage loan and $45,750,000 mezzanine loan from an affiliate of Starwood Property Trust, Inc.
  • Counseled a 171 store retail chain with respect to the amendment of 145 leases over a 3 month period, saving the company approximately $18,000,000 on a present value basis.
  • Counseled a multi-channel, local information company in connection with the sale and leaseback of thirty-five (35) properties throughout the United States.
  • Counseled Polartec, LLC and one of its affiliates in connection with: (1) the negotiation of a 28,940 sf office lease for its corporate headquarters; and (2) the sale and leaseback of a 180,000 sf Tennessee manufacturing facility.
  • Counseled a department store chain with respect to the negotiation of: (1) a new lease for a 180,000 sf store in Meriden, CT; and (2) an amendment to an existing lease in connection with the total redevelopment of a former enclosed mall regional shopping center located in Pennsylvania.
  • Counseled a multifamily apartment ownership and management company in connection with the $80,650,000 acquisition of a 375 unit the complex from an affiliate of J.P Morgan Investment Management, Inc.
  • Counseled NYSE REIT in the negotiation of a 6,000 sf long-term lease to Verizon Wireless.
  • Counseled NYSE REIT in the negotiation of a 90,000 sf long-term lease to Dick’s Sporting Goods for a Dick’s/Field & Stream combination store.
  • Counseled NYSE REIT in the negotiation of a 50,000 sf long-term lease to Dick’s Sporting Goods.
  • Counseled NYSE REIT in negotiation of a 98,000 sf long-term lease to Century 21 as the anchor tenant of the Fashion Outlets of Philadelphia (a multi-year redevelopment of the former 805,000 sf Gallery Shopping Center.
  • Counseled a real estate opportunity fund in connection with the purchase of the YMCA of Washington DC for conversion into an office building.
  • Counseled leading manager of alternative investment funds in the negotiation of a long-term build-to-suit lease for a 4-story, 80,050 sf Class A corporate headquarters designed to achieve LEED® Gold certification under the Core & Shell™ rating system from the U.S. Green Building Council.
  • Real estate counsel for a leading Philadelphia based private equity fund, handling real estate matters throughout the United States.
  • Real estate counsel for several different chain store companies handling, real estate matters throughout the United States.
