Jon’s practice includes a full range of finance, equity investment and real estate activities for private equity funds, capital markets and institutional lenders, REITs, hedge funds, developers, owner/operators, corporations and investors. He has extensive experience representing private equity funds, operating partners and other investors in the structuring and formation of senior/subordinate and pari passu joint ventures, and in the acquisition, financing and disposition by the resulting joint ventures of real estate investments, including multi-family, hospitality, office, retail and industrial real estate.
Jon has been representing lenders and financing providers for over twenty years, including conduit lenders, banks, insurance companies, and private equity funds, in the origination, purchase, sale, restructuring and enforcement of mortgage loans, mezzanine loans, construction loans, subordinate (“B”) Notes, participation interests and preferred equity investments, and in structuring and negotiating intercreditor, co-lender and participation and servicing agreements. He often represents CMBS lenders and borrowers in the origination of mortgage and mezzanine loans involving unique or complicated structures, and is one of the leading attorneys in the country with respect to tenancy-in-common financing. He has a particular depth of experience with the financing of hospitality properties.
Jon regularly advises mortgage, mezzanine lenders and preferred equity investors as to the strategies and tactics for resolving default situations and enforcing remedies. He has represented various lenders and borrowers in deed-in-lieu and assignment-in-lieu transactions, and has orchestrated several UCC sales to realize on defaulted mezzanine loan collateral. In addition, he has represented both buyers and sellers in the purchase and sale of distressed debt.
Jon has regularly represented various private equity funds, developers and institutions in the acquisition, including acquisition by ground lease, development, leasing, repositioning and disposition of real estate, including hotels, restaurants, retail centers, multi-family properties and office buildings. He advises companies on strategic real estate decisions, and has extensive experience representing both acquirers and targets with respect to the real estate aspects of corporate M&A transactions. Jon also has experience representing capital providers in receivables financing, factoring and asset based lending, and in the work-out of such transactions.
