We advise on structural, governance, compliance and transactional considerations unique to not-for-profit entities, as well as assist clients looking to establish both private foundations and public charities.
Specific to these needs, our attorneys review and prepare not-for-profit bylaws and governing documents that align with the unique circumstances of a particular charitable organization, allowing the organization to operate in an efficient manner and in compliance with the corporate formalities required for not-for-profit corporations. We also prepare and counsel clients on not-for-profit governance policies and compliance, and guide our clients on formation, Pennsylvania Bureau of Charitable Organization registration and other regulatory matters applicable to not-for-profit entities. Our corporate attorneys also work closely with our tax group to assist our clients with applying and qualifying for tax-exempt status under the Internal Revenue Code, and advising our clients regarding ongoing compliance to maintain their tax-exempt status with the IRS. Our attorneys understand the unique circumstances applicable to not-for-profit entities and have represented and advised our not-for-profit clients on a variety of matters, including business combinations and donative structuring.
